PSA, Datto RMM and Kaseya Quote Manager Terms of Use

These Terms of Use (“Terms”) govern access to, and use of, Autotask PSA, BMS, Vorex, Datto RMM (“DRMM”) and Kaseya Quote Manager (“KQM”) products and their related services (collectively, the “Products”). By purchasing or using any of the Products, you agree to be bound by these Terms, which are incorporated into the Kaseya Master Agreement or such other master agreement (the “Agreement”) between you and the Kaseya entity from which you purchase Products (“Kaseya”). Capitalized terms not defined in these Terms have the meaning given to them in the Agreement. For clarity, the Products includes the Kaseya Services related to the Products. In the event of any conflict between the Agreement and these Terms, these Terms will take precedence with respect to the Products.
- USE OF PRODUCTS
- Right to Use. Subject to your compliance with these Terms, the Agreement and the receipt by us of all applicable fees, Kaseya grants you a limited, revocable, non-sublicensable, non-exclusive right and license during the applicable Subscription’s Committed Service Term to access and use the Product for the number of Licenses and/or usage measure specified in an Order. Unless otherwise specified, you will receive the current standard features and functionality of the Product.
- Agent Software. If your use of the Product involves the use of Agent Software, you hereby agree to the terms of all applicable Agent Software licenses, and we grant you the non-exclusive, non-assignable, limited right to download, install and use the Agent Software solely to facilitate your access to, operation of, and/or use of the Products as specified in the applicable Order. Your right to use such Agent Software will terminate upon the termination of the Service Subscription associated with the Product.
- Additional Licenses. Any additional Licenses, add-on features or other usage added to a Subscription after initial Order, either by you, a Client or any authorized administrator of the Product, either manually or through an enabled automatic add feature, will be provisioned and will be deemed to modify your Order. You acknowledge that you are responsible for any features you enable, or that you allow your Client to enable, either upon initial registration or thereafter, including but not limited to, automatic add License features.
- PROFESSIONAL SERVICES
Kaseya may require that you purchase Professional Services (such as implementation packages) as part of your Order of a Product. For example, the purchase of Autotask PSA typically requires such Professional Services. Where Professional Services are ordered, the Professional Services Terms of Use, available at the link here, shall apply to such Services.
- TRANSITION PERIODS
- Initial Transition Periods. Certain Orders may allow for a transition period at the beginning of the initial Committed Service Term to account for various circumstances such as, for example, implementation periods or phased adoption of Licenses. Any such transition period is considered part of the Subscription and subject to these Terms. Such transition periods are not trial or evaluation periods. Only the first Committed Service Term is affected by a transition period, and thereafter the Committed Service Term shall have the standard term period.
- Free Transition Periods. Unless otherwise set forth on an Order, a transition period where Kaseya Services (other than Professional Services) are provided without charge does not count toward the length of the Committed Service Term, and in such case the first Committed Service Term will begin on the first of the month following the end of the transition period.
- Ramped License Charges. Any transition period where all Licenses in an Order are provisioned at the start of the Order, but fees for the Licenses are charged according to a phased/ramp up does not affect the Committed Service Term; the number of Licenses in the Subscription will include all Licenses provisioned at the time of Order.
- ACCESS TO CONTENT
The following table describes the retention of Content (as that term is defined in the Kaseya Master Agreement) both during the term of a Subscription and after termination/expiration of the Subscription. If applicable to a Product type, while your Subscription is active, you export or download a copy of Content in a format supported by us, provided that the volume of Content is a reasonable amount. Such obligation is conditioned upon your following the instructions in the applicable Product Specifications and payment of all amounts you owe to us, including any applicable standard fee for the export. After a Subscription has expired or is terminated, we have no obligation to maintain or provide any Content and may thereafter delete or destroy all copies of the Content, unless legally prohibited.

*Please Note: Export or transfer of Datto RMM information is not possible. Transferring Datto RMM Product Licenses to a new account requires the re-deployment of agents on all endpoints, and no historical data will be transferred including: settings, configurations, endpoint history, policies, scripts, reports or filters. All settings and configurations of Datto RMM must be reset and checked after a transfer.
- FEES AND PAYMENTS
Subscription fees are invoiced monthly and in advance, beginning in the first month following the Service Subscription Activation Date. Monthly Service Subscription fees are based on the higher of the current number of Licenses designated in a Service Subscription for a Committed Service Term or the actual License use, as of the previous month, provided that fees for KQM are a flat fee. For those Products that bill on a calendar month cadence, for the first month full following the Activation Date, additional charges may be due to cover the period from the Activation Date through the end of the previous, partial calendar month.
- COMANAGEMENT WITH PSA PRODUCT
If you are an MSP and allow your Client’s IT professionals access to a PSA Product, it is your obligation to: (a) make sure that the Client users understand how to use the Product; and (b) ensure that you use proper credentialing, configuration and user roles to avoid one Client’s seeing the data of another Client.
- SPECIAL TERMS FOR THE KASEYA QUOTE MANAGER MARKETPLACE.
- The KQM Marketplace and Third-Party Suppliers. KQM allows you to create an electronic marketplace (“Your Marketplace”) on which you and/or your Clients may purchase the products and services of third-party suppliers, for example, Dell or Lenovo (“KQM Suppliers”). You acknowledge and agree that any transactions, including the purchase, sale, return, or refund of any product or service made through KQM (each a “KQM Transaction”) is directly between you, the applicable KQM Suppliers and/or your Clients; Kaseya has no responsibility with respect to KQM Transactions.
- Data Feed KQM can be configured by you to accept product and pricing information from KQM Suppliers about their (“Data Feeds”). In addition, within certain territories, Kaseya will configure KQM to accept Data Feeds of product images and specifications that are provided by third parties such as GFK Etilize, or other third-parties. Data Feeds are a form of Third-Party Technology as that term is defined in the Kaseya Master Agreement, and Kaseya is not responsible for the Data Feeds or the acts or omissions of the Data Feed providers. By using Data Feeds, you understand that you are giving the providers of the Data Feeds access to data of your Clients, and you are responsible for contracting directly with such providers regarding limitations on their use of your Clients’ data.
- Your Obligations. You are responsible for the creation and operation of Your Marketplace, including all offers, advertisements, prices, policies and content. For clarity, Kaseya is not responsible for:
- Ensuring that Datafeeds and other product information are accurate;
- KQM Transactions or any terms negotiated or agreed upon between you or any KQM Supplier or KQM Client regarding KQM Transactions;
- Fulfilling orders placed with KQM Suppliers;
- Packaging, labeling, shipping and delivering products and services in accordance with Applicable Law and the KQM Transaction terms;
- Processing payments for KQM Transactions. Payments for KQM Transactions do not flow through Kaseya, but are made directly with the KQM Supplier;
- Providing all forms of customer, product, warranty and RMA support for the products and services purchased from the KQM Supplier.
- Choosing KQM Suppliers. While you may choose which KQM Suppliers you wish to do business with, Kaseya has the right to determine which suppliers are provided access to KQM and Kaseya may remove or suspend a KQM Supplier in Kaseya’s discretion at any time, with or without notice to you.
- Feedback Regarding Products on the Marketplace.Any product ratings, product recommendations or similar information that you or your Client voluntarily chooses to provide to Kaseya through the KQM platform is a form of Feedback, as that term is defined in the Kaseya Master Agreement.
